1. About Jalaram Produce

Jalaram Produce is a wholesale supplier of vegetables and fruit based in Edmonton, Alberta, Canada. We sell to restaurants and grocery shops.

2. Eligibility

You must be a business customer (restaurant or grocery shop) operating in Canada and authorized to bind that business. By ordering, you confirm you are ordering for trade use at a business delivery address.

3. Accounts

You are responsible for safeguarding login credentials and for all activity under your account. Keep business name, contacts, and Canadian delivery and billing addresses accurate. We may suspend or close accounts that are inactive, insecure, or used in breach of these terms.

4. Orders & availability

Inventory, units, and prices may change with supply. An order is an offer to purchase; it is accepted when we confirm it (including through the store or admin tools). We may adjust or cancel lines we cannot fulfill and will communicate shortfalls or substitutions where reasonably possible.

5. Pricing, tax & payment

Prices are in Canadian dollars (CAD) unless we state otherwise. Applicable taxes (such as GST in Alberta) may be added as required by law and shown on invoices. Payment terms follow your account arrangement. Late or failed payment may result in holds on future orders and recovery of amounts owing.

6. Delivery

We deliver to the business address on your account within our operating area and delivery windows in Canada. Someone authorized by you should be available to receive produce. Title and risk pass on delivery acceptance unless we agree otherwise in writing. Failed deliveries caused by incorrect addresses or no receiver may be rescheduled at our discretion and may incur additional charges.

7. Quality & claims

Produce is perishable. Inspect deliveries promptly. Report damaged, missing, or incorrect items as soon as practicable (ideally the same day), with order details and photos where helpful. Claims made after unreasonable delay may be denied. Remedies may include replacement, credit, or refund at our reasonable discretion.

8. Acceptable use

Do not misuse the store or admin systems, attempt unauthorized access, interfere with other customers, or use our services for unlawful purposes. Automated scraping or abuse of APIs without our written consent is prohibited.

9. Intellectual property

Site content, branding, and software are owned by Jalaram Produce or our licensors. You may use them only as needed to place and manage legitimate trade orders.

10. Limitation of liability

To the fullest extent permitted by Alberta and Canadian law, Jalaram Produce is not liable for indirect, incidental, special, or consequential damages (including lost profits or business interruption). Our aggregate liability arising from a given order is limited to the amount you paid for that order.

11. Indemnity

You agree to indemnify Jalaram Produce against claims arising from your misuse of the services, inaccurate account information, or breach of these terms, except to the extent caused by our gross negligence or willful misconduct.

12. Governing law

These terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein. You agree to the exclusive jurisdiction of the courts of Alberta for disputes arising from these terms or your orders, subject to any mandatory rights you cannot waive.

13. Changes

We may update these terms by posting a revised version with a new “Last updated” date. Continued use of the services after posting constitutes acceptance of the updated terms for new orders.
